TERMS OF SERVICE - iengorde

These Terms of Service ("Terms") govern access to and use of the iengorde platform, software as a service (SaaS) for comprehensive poultry production management and related operations ("Service"), operated by iengorde ("we").

By creating an account, subscribing to a plan, signing in or using the Service, you accept these Terms. If you act on behalf of a company or organization, you represent that you have authority to bind it to this agreement.

1. DEFINITIONS

- "Customer": the natural or legal person that contracts the Service.
- "User": person authorized by the Customer to access the Service.
- "Customer Content": data, records, files and information that the Customer or its Users enter on the platform (lots, partners, finances, inventory, etc.).
- "Plan": subscription tier with defined features, limits and price.


2. DESCRIPTION OF THE SERVICE

iengorde offers cloud tools to record, analyze and manage poultry production operations, including modules for lots, purchases, sales, daily log, finances, partners, users, reports and additional features according to the contracted Plan.

We may modify, update or discontinue Service features, seeking to provide reasonable advance notice when the change materially affects contracted use.


3. REGISTRATION AND ACCOUNTS

3.1 Eligibility
The Service is intended for business or professional use. You must be of legal age and have legal capacity to contract.

3.2 Accurate information
You must provide accurate, complete and up-to-date information when registering and keep it updated.

3.3 Credential security
You are responsible for the confidentiality of your credentials and all activity under your account. Notify us immediately of any unauthorized use.

3.4 Roles and permissions
The Customer is responsible for assigning roles and permissions to its Users according to its organization structure.


4. PLANS, PAYMENTS AND BILLING

4.1 Subscription
Access to the Service is granted through subscription to a Plan (monthly, annual or other cycle offered). Prices, features and limits of each Plan are published on the website or agreed commercially.

4.2 Payment
Unless otherwise agreed, fees are paid in advance according to the billing cycle. The Customer must send receipts or make payments through enabled channels. Non-payment may result in access suspension.

4.3 Renewal
Subscriptions may renew automatically at the end of each period, unless cancelled in advance as indicated in the contracting process or commercial communications.

4.4 Taxes
Prices may not include applicable taxes, which will be the Customer's responsibility when applicable.

4.5 Price changes
We may modify fees for future periods, with reasonable advance notice. Continued use after effectiveness implies acceptance of new prices.


5. LICENSE TO USE

We grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Service during your subscription, solely for internal management of your poultry or agricultural operation.

Prohibited:
- Copying, modifying, decompiling, reverse engineering or creating derivative works of the Service, except as permitted by law.
- Reselling, sublicensing, renting or making the Service available to unauthorized third parties.
- Using the Service to develop a competing product.
- Attempting unauthorized access to systems, accounts or data of other customers.
- Overloading, interfering with or compromising the security or availability of the Service.


6. CUSTOMER CONTENT AND INTELLECTUAL PROPERTY

6.1 Customer ownership
The Customer retains all rights to its Customer Content. You grant iengorde a limited license to host, process, back up and display such content solely to provide the Service.

6.2 iengorde ownership
iengorde and its licensors retain all rights to the platform, software, design, trademarks, documentation and improvements. These Terms do not transfer any intellectual property.

6.3 Data responsibility
The Customer is responsible for the accuracy, legality and backup of its Customer Content, and for complying with laws applicable to its production and commercial activity.


7. ACCEPTABLE USE

You agree not to use the Service for illegal, fraudulent, defamatory activities, that infringe third-party rights or distribute malware. We may suspend or terminate access for serious or repeated breaches.


8. PRIVACY

Processing of personal data is governed by our Privacy Policy, available at /en/privacy, which forms an integral part of these Terms.


9. AVAILABILITY AND SUPPORT

We seek to keep the Service continuously available, but do not guarantee uninterrupted availability. Scheduled maintenance, updates or interruptions may occur for reasons beyond our reasonable control.

Support level may vary according to the contracted Plan.


10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, iengorde DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not guarantee that the Service will meet all your specific needs or that your farm's operational or financial results are assured by using the platform.


11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, iengorde SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR GOODWILL.

iengorde's total cumulative liability for any claim related to the Service shall be limited to the amount paid by the Customer to iengorde during the twelve (12) months prior to the event giving rise to the claim, unless mandatory law provides otherwise.


12. INDEMNIFICATION

The Customer shall indemnify and hold iengorde harmless against third-party claims arising from Customer Content, misuse of the Service or breach of these Terms by the Customer or its Users.


13. SUSPENSION AND TERMINATION

13.1 By the Customer
You may stop using the Service and request cancellation according to commercially indicated procedures.

13.2 By iengorde
We may suspend or terminate access for breach of these Terms, non-payment, security risk or legal requirement.

13.3 Effects
Upon termination, the right of access ceases. We will seek to allow reasonable export or recovery of Customer Content for a limited period, unless legal obligation requires retention or deletion.


14. CHANGES TO THE TERMS

We may update these Terms by publishing the new version at /en/terms. If changes are material, we will notify you by reasonable means. Continued use of the Service after effectiveness implies acceptance, unless law requires additional consent.


15. GOVERNING LAW AND JURISDICTION

These Terms are governed by applicable laws of the Bolivarian Republic of Venezuela, without prejudice to mandatory consumer protection rules that may apply. Any dispute shall be submitted to competent courts in Venezuela, unless the parties agree otherwise in writing.


16. GENERAL PROVISIONS

16.1 Entire agreement
These Terms, together with the Privacy Policy and Plan commercial conditions, constitute the entire agreement between the parties regarding the Service.

16.2 Severability
If any clause is invalid, the remainder shall remain in effect.

16.3 Waiver
Failure to exercise a right does not constitute a waiver.

16.4 Assignment
The Customer may not assign these Terms without prior written consent. iengorde may assign them in case of corporate reorganization.
